REVISED BYLAWS OF GRAND RAPIDS BAND
BOOSTERS ASSOCIATION ARTICLE I NAME This organization
shall be known as the Grand Rapids Band Boosters Association, ("GRBBA") ARTICLE II. PURPOSE Section
1. The GRBBA is organized exclusively for charitable, educational
and benevolent purposes within the meaning of Section 501(c) (3) of the
Internal Revenue Code. Section
2. The primary purpose of the GRBBA is to encourage and promote the
educational activities of School District #318 High School Band Program, A.To
encourage and promote community support for the School District #318 High
School Band Program. B.To promote
a closer parent/guardian involvement with the School District #318 High
School Band Program, ARTICLE III MEMBERS Section 1. Parents/guardians
of the High School students are automatically members of GRBBA. Membership
is also open to non parent guardians of the community registering with
the Secretary for membership during the succeeding twelve (12) month fiscal period. (September
1 through August 31) Section
2. No dues shall be collected to maintain membership in the GRBBA. ARTICLE
IV. OFFICERS Section
1. The officers of the GRBBA shall be: A. President B.
Vice President C. Secretary D. Treasurer Section
2. The President shall be the chief executive officer who is responsible
for carrying out The management of the business and the affairs of GRBBA,
He/She shall preside over all regular and special meetings of the board
and the membership of GRBBA and shall see that all resolutions are carried
into effect. The President
shall sign all legal documents and shall perform other duties that the
board may prescribe. Section 3.
The Vice-President shall assume all duties of the President in the event
of the absence or incapacity of the President. He/She shall be responsible
for the implementation of the fundraising activities of the GRBBA and
perform any other duties assigned by the board. Section 4.
The Secretary shall be the custodian of the records of the GRBBA. He/She
shall file reports and minutes of the regular and special meetings in
a file book to be provided for that purpose, and the same shall be preserved
at the Grand Rapids Senior High as part of the record of the GRBBA. The Secretary shall maintain the official
membership rolls of the GRBBA, keep a current policy sheet, prepare the
meeting agenda for all meetings, notify candidates for office of their
nomination, provide notices of meetings to all members and perform all
other duties assigned by the board.
Section 5.
The Treasurer shall be the financial officer of the GRBBA. He/She shall
receive and disburse all monies of the GRBBA, keep accounting records,
prepare reports of the financial status of the GRBBA, and perform all
other duties assigned by the board. Section 6. A term
of office shall be one (1) year beginning immediately following the close
of the annual meeting. Section 7.
No officer shall serve more than two (2) consecutive years in the same
office. Exception may be made upon the recommendation of both the board
and the Nominating Committee. Section 8.
All officers shall deliver to their successors all official material no
later than the beginning of the next fiscal year. Section 9.
The board of directors may fill any vacant office for the balance of the
unexpired term. ARTICLE
V. BOARD OF DIRECTORS Section
I The board of directors shall be a minimum
of twelve (12) nine (9) and a maximum of eighteen
(18) twelve (12) in number, and shall include
the following members: A.
President B. Vice-President C. Secretary D. Treasurer E. The immediate
past President F. Band Director(s) G. A minimum of
six (6) directors at large Section
2. The duties of the board of directors shall be: A.
To manage the business and the affairs of the GRBBA. B. To set dates,
times and places of regular and special meetings. C. To set agenda
for all meetings of the board and membership. D. To appoint all
major committee chair people (exclusive of fundraising committee chairperson). E. To serve as
a Nominating Committee for the selection of officers each year. Section
3. Board terms for directors at large shall be for two (2) years and
shall be staggered so that approximately one half of the directors at
large are elected each year. Section
4. The board may fill any director at large vacant position for the
balance of the unexpired term. ARTICLE VI. MEETINGS Section
1. An annual meeting of the board and the membership shall be held
each year. Unless otherwise ordered by the board, the GRBBA annual meeting
of the board and membership shall be held on the third Monday of September
in each calendar year at such time and place as the President shall prescribe. Section 2.
The purpose of the annual meeting is to: A. B. Receive the
annual financial report of the treasurer C. Receive the
report of the audit committee and the other committees D. Transact any
other, business that may come before the meeting. Section 3.
Special meetings of the board or membership shall be called by the Band
Directors, President or by chairpersons of committees to transact any
business deemed necessary. Section 4.
The following shall form part of the Order of Business and procedure at
all regular and special meetings of the Association: A. Call to order B. Minutes C. Communications D. Treasurer's
report E. Old Business
F. New Business
G.
Closing Section 5. A quorum for a meeting of the board shall be a majority of all
directors. Except as otherwise specified in these
by-laws, action may be taken at any meeting by a majority of those present
and eligible to vote. ARTICLE VII ELECTIONS Section
1. Nominations shall include: A. A slate of one
candidate for each position from the nominating committee B.
Nominations from the floor with previous acceptance of the nominee Section 2. Election of officers and directors shall be by written ballot,
prepared by the secretary. The
written ballot may be dispenses with and a voice vote taken if there is
no more than one (1) candidate per office. Section
3. Each office shall be on a separate ballot. Section
4. Members must
be present at the meeting to cast a vote, and a majority of all votes
cast for each position shall be necessary to elect. ARTICLE VIII COMMITTEES Section
1. GRBBA shall have the following standing committees: A. Audit Committee B.
ByLaw Committee C. Budget Committee D. Fundraising.Committee E. Nominating Committee F. Public Relations
Committee Section
2. Special Committees shall be formed for the purpose of organizing
or researching areas to further the activities of GRBBA. Section
3. The president, with board approval, shall determine the duties
of the standing‑committees.
Each standing committee will elect a chairperson who shall report
to the board. Section
4. The president, with board approval, shall determine the composition
and duties of the special
committees. Each special
committee shall elect a chairperson who shall report to the board. ARTICLE IX. COMPENSATION No
officer, director, or member shall receive compensation from GRBBA for
the performance of the duties specified. ARTICLE IX – DISSOLUTION In the event of
the dissolution of the GRBBA, all remaining monies will be turned over
to the ISD #318 High School Band Fund. ARTICLE XI. BYLAW
AMENDMENTS Section
, 1. These by-laws may be amended
by a majority vote of members present and eligible to vote at a regular
business meeting held subsequent to a regular meeting, at which, notice,
in writing, providing for such amendment shall have been given and regularly
read. Section
2. The rules contained in the current edition of "Robert's Rules
of Order, Newly Revised" shall
govern the GRBBA in all cases to which they are applicable and in which
they are not inconsistent with these by-laws and any special rules of

SHEET 1. Responsibilities
of standing committees A.
The ByLaw committee shall annually review the bylaws and recommend any
necessary change to 1hr.board. This committee should consist of two board
members and one at large member. B. The audit committee
shall annually arrange an internal audit of the treasuar's books within
one month of the annual meeting. C. The nominating
committee shall meet prior to the annual meeting for the purpose of preparing
a slate of officers for the upcoming election. D. Fundraising
Committee – vice President as chairperson is responsible for overall fundraising
projects and shall appoint individual project chairpersons (PCP's).
These PCP's may appoint their own committee.
IN addition, PCP's should report back to the fundraising chair/VP. PCP's are responsible for finances of
project and must deposit with the treasurer as collected. Publicity expenses subject to executive
approval. Records must be
kept and filed in Band Booster file.
A final report must be submitted at the end of the project. (Included in this report should be finances,
contact people, and recommendations.) It is recommended that any non-typical
projects be approved by the board. E.
The budget committee shall annually prepare a budget to be approved by
the board prior to the annual meeting.
(This should be comprised of the directors and the treasurer.) 2.
Individual committee members are reminded to stay within committee and
follow the chain of command. 3.
The treasurer's accounting records shall include a ledger to checkbook
balance. 4. A trip committee
shall be established to include: A. Transportation B. Lodging C. Meals D. Activities E. Chaperones 5. A newsletter
should be published periodically to keep members informed. 6. A historian shall keep a record of band activities. |
